Welcome to Guestdoors! These Terms and Conditions ("Terms") govern your access to and use of the Guestdoors website (https://guestdoors.com), including any content, functionality, and services offered on or through the platform (the "Service"), provided by Accelerated Ideas OÜ ("Company", "we", "us", or "our").

Please read these Terms carefully before you start to use the Service. By accessing or using the Service, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at https://guestdoors.com/privacy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Service.

1. Description of Service

Guestdoors provides a Software-as-a-Service (SaaS) platform that enables property owners and hosts ("Hosts") to create simple, shareable web pages ("Property Pages") for their properties. Hosts can connect their own Stripe accounts, manage availability, set pricing and policies, and share a unique link to their Property Page to accept direct booking requests and payments from guests ("Guests"). The Service facilitates the connection between Hosts and Guests but does not act as a party to any booking agreement.

2. Eligibility and Account Registration

To use the Service as a Host, you must register for an account ("Account"), connect a valid Stripe account, and provide certain information about yourself and your property as prompted by the registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are of legal age to form a binding contract; (d) your use of the Service does not violate any applicable law or regulation. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. Guests using the Property Pages are not required to create an account with Guestdoors.

3. Host Responsibilities

As a Host, you are solely responsible for:

  • Ensuring the accuracy and completeness of all information provided on your Property Page, including descriptions, photos, pricing, availability, and policies.
  • Complying with all applicable laws, rules, regulations, and tax obligations related to your property and the acceptance of bookings.
  • Setting and enforcing your own terms, conditions, and policies (e.g., cancellation policy, house rules) with Guests.
  • Managing your Stripe account, including handling disputes, chargebacks, and refunds according to Stripe's terms and your own policies.
  • The safety, quality, and legality of the property offered.
  • Appropriately managing risks associated with payment options you enable, such as the "Pay at Property" feature, including potential no-shows or payment failures.
  • Marketing and driving traffic to your Property Page; Guestdoors does not provide discovery or marketing services.

4. Guest Responsibilities

As a Guest using a Property Page generated by the Service, you agree to:

  • Provide accurate information when making a booking request.
  • Review and comply with the Host's terms, conditions, and policies presented on the Property Page.
  • Fulfill payment obligations as agreed upon during the booking process, either through Stripe or directly with the Host, depending on the options offered.
  • Communicate directly with the Host for any questions or issues regarding the property or your booking.

5. Fees and Payments

Host Subscription Fees: Hosts are required to pay a recurring subscription fee to access and use the Service, as detailed on our Pricing page. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We reserve the right to change our subscription fees upon reasonable notice.

Guest Payments: All payments made by Guests for property bookings are processed directly through the Host's connected Stripe account or handled directly between the Guest and Host if the "Pay at Property" option is used. Guestdoors is not involved in the transaction between the Host and Guest and does not charge any commission on bookings. Hosts are subject to Stripe's transaction fees and Stripe's own terms of service.

Payment Disputes: Any disputes related to booking payments, including chargebacks or refunds, must be resolved directly between the Guest and the Host, potentially utilizing Stripe's dispute resolution process. Guestdoors is not responsible for mediating or resolving such disputes.

6. Content and Intellectual Property

Our Content: The Service and its original content (excluding Content provided by Hosts), features, and functionality are and will remain the exclusive property of Accelerated Ideas OÜ and its licensors. The Service is protected by copyright, trademark, and other laws of both Estonia and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of Accelerated Ideas OÜ.

Host Content: Hosts retain ownership of the content they upload to their Property Pages, such as text, photos, and pricing information ("Host Content"). By uploading Host Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Host Content in connection with operating and providing the Service and for our internal business purposes. You represent and warrant that you have all necessary rights to grant us this license and that your Host Content does not infringe upon the rights of any third party.

7. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.
  • To upload any content that is illegal, fraudulent, defamatory, obscene, or infringes on intellectual property rights.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Service will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that the information obtained through the Service is accurate, reliable, or complete. Guestdoors does not endorse, verify, or guarantee any Host, Guest, property, or Host Content. Any booking transaction is solely between the Host and Guest.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Accelerated Ideas OÜ, its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. This includes, without limitation, any damages resulting from: (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service, including Hosts and Guests; (c) any content obtained from the Service; (d) unauthorized access, use, or alteration of your transmissions or content; (e) any disputes between Hosts and Guests; (f) the condition of any property; or (g) any failure by a Host or Guest to fulfill payment obligations.

10. Indemnification

You agree to defend, indemnify, and hold harmless Accelerated Ideas OÜ and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service, including any disputes arising from bookings made through your Property Page.

11. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your Account, you may simply discontinue using the Service or contact us. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
